MENLO PARK, Calif., Oct. 26 (TodayViralUSA) — Meta Platforms on Monday launched public stock offerings worth about $35 billion, as the Facebook and Instagram owner looks for new ways to pay for its rapidly growing investment in artificial intelligence.
The company also said it plans a separate “at-the-market” share sale program of up to $60 billion once its new non-voting Class C shares begin trading, which is expected in the first quarter of 2027.
How the deal is structured
The financing has two parts: roughly $22.5 billion of Class A common stock sold through forward sale agreements, and about $12.5 billion of depositary shares representing newly issued mandatory convertible preferred stock. Morgan Stanley and Goldman Sachs are leading the offerings, and underwriters have options to buy additional shares.
Nvidia, Advanced Micro Devices and Broadcom, three of Meta’s major chip suppliers, have each indicated non-binding interest in buying a combined total of up to $5 billion of the common stock on the same terms as other investors, according to the company’s announcement.
Paying for “personal superintelligence”
Meta said the money will support its AI infrastructure and its push to bring what it calls “personal superintelligence” to billions of people and businesses. It expects capital expenditures of $135 billion to $145 billion this year and has committed to about $825 billion in future spending, largely on data centers, AI infrastructure and cloud computing capacity, Reuters reported.
The company said it would fund the build-out through a mix of operating cash flow, investment-grade debt, partnerships and equity. Meta generated $97 billion of operating cash flow in the first nine months of 2026 and ended September with about $82 billion in cash and marketable securities, only slightly above its roughly $81 billion of long-term debt.
Investor pressure
The raise follows a rocky reaction to Meta’s third-quarter results last week, when its shares slid as heavy AI spending pushed free cash flow into negative territory. Third-quarter revenue rose 26% from a year earlier to $64.6 billion, with net income of $9.9 billion.
Selling new shares dilutes existing shareholders, but it gives Meta another source of capital as it competes with OpenAI, Anthropic and other well-funded rivals for computing power.
